Tool Storage Lockers for Rail

Tool Storage lockers to provide secure, organized, and protected storage for critical equipment used in maintenance-of-way, mechanical shops, and field response activities in Rail Operations.

Products

The vendor agrees to sell to the City the products identified in the *Price Schedule* Attachment (the "Products") for the prices stated therein in such quantities as the City may specify from time to time through the issuance of City Purchase Orders ("POs"). This Contract requires no minimum purchase and imposes no financial obligation on the City, absent the City's issuance of a PO.

Delivery

Delivery shall be to the City location specified in the PO. All delivery costs shall be borne by the vendor. The vendor shall ship all orders FOB Destination. No shipping charges allowed.

Warranty

All Products supplied under the Contract shall be covered by a manufacturer's written guarantee and/or warranty that such Products will be free from defects in materials, workmanship, and performance for a minimum of one year [...]

• The Company shall provide the City with two copies of the manufacturer's written warranty for each item of equipment.
• The manufacturer shall be responsible for paying all shipping and crating costs associated with warranty repairs

Design Requirement

All Products and Services shall meet the Specifications set forth in the Specifications Attachment.

Payment Terms

The City will pay undisputed, properly submitted invoices within thirty (30) days after receipt.

Price Adjustments

The prices stated in the Price Schedule shall remain fixed for the Initial Term.

Insurance

The following insurance is required under this Contract:

• Automobile Liability: if the vendor owns or leases commercial vehicles, not less than **$1,000,000** per occurrence/aggregate, combined single limit.
• Commercial General Liability: limit not less than **$1,000,000.00** per occurrence/aggregate.
• Workers' Compensation Insurance: meeting the statutory requirements of the State of North Carolina and any applicable Federal laws; and, Employers' Liability - $100,000 per accident limit, $500,000 disease per policy limit, $100,000 disease each employee limit.
